PRICES
All prices, including published prices are subject to
change without notice, unless otherwise stated by written
quotation.
TERMS
For new Fastec Industrial Corp. customers, upon the
receipt of application for registration, the Corporate
Credit Department will initiate a request for credit
references and tax exemption certificates. Terms will
be established after the credit application and tax
exemption certificate are completed and returned to
the Corporate Credit Department for review and approval.
Please allow at least a minimum of 2 weeks for clearing
all the credit references. At that time, a notification
will be sent to the customer advising of their credit
limit and terms.
For existing Fastec Industrial Corp. customers, terms
will remain as previously established. If an account
becomes past due or the authorized credit limit is exceeded,
it is up to the discretion of the Corporate Credit Department
to place the account on a hold basis.
DELIVERY
Fastec Industrial Corp. shall have no liability for
delay or failure to make delivery due to fire, labor
troubles, accidents, failure of suppliers to deliver,
government directives or requests, or other causes beyond
our control.
OVER AND UNDER SHIPMENTS
Fastec Industrial Corp. reserves the right to ship over
or under ten percent (10%) of the quantity ordered.
CANCELLATION
Orders accepted by Fastec Industrial Corp. are not subject
to cancellation without written consent. Terms of cancellation
may include compensation to Fastec Industrial Corp.
WARRANTY
Fastec Industrial Corp. guarantees its products to meet
industry standards. Any products found to be defective
must be returned within 30 days. Fastec Industrial Corp.’s
sole liability and the customer’s sole remedy
is limited to the replacement of any products determined
by Fastec Industrial Corp. to be defective in quality,
providing that claims for any defects are made within
warranty period of 30 days.
The warranty provisions contained in this statement
are expressly in lieu of all other warranties, express,
statutory, or implied in fact by law. And there are
no implied warranties of merchantability or fitness
for a particular purpose made in connection with the
sale of the products. The warranty provision shall not
apply to defects resulting from improper or unspecified
uses or applications.
CONSEQUENTIAL DAMAGES
Sole liability for breach of warranty shall be limited
to the replacement of the products as provided above
and the customer waives all other remedies. Fastec Industrial
Corp. shall not be liable for loss of profits, loss
of use, damages or injury to persons, or other consequential
or incidental damages of any kind, nor shall Fastec
Industrial Corp. be liable for any cost of replacement
incurred by the original customer in the absence of
specific written authorization from Fastec Industrial
Corp. to make such a replacement.
ACCEPTANCE
Acceptance of the customer’s purchase order is
conditional on the customer’s consent to any terms
or conditions stated above which are in addition to
or different from, any terms or conditions stated in
the customer’s purchase order. Unless notice of
the customer’s rejection of such addition or different
terms is received within ten (10) days from the date
of order confirmation, such additional or different
terms shall become part of the agreement.
RETURNED ITEMS
In no case is material to be returned to Fastec Industrial
Corp. without written authorization. We reserve the
right to implement a twenty percent (20%) handling charge
for any returns. All returns will be subject to Fastec
Industrial Corp.’s count. No credit will be issued
on any product that is damaged or mixed. Items covered
by ISO 9000 public law 101 (critical) may not be returned
for any reason unless in the original sealed container
showing lot numbers.
ENTIRE AGREEMENT
The foregoing comprises the entire agreement between
Fastec Industrial Corp. and the customer, and there
shall be no modification of the foregoing except as
agreed in writing signed by Fastec Industrial Corp.
and the customer.
